Terms of Use

1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and Stojanov Ventures ("we," "us," "our"), a company registered in Germany, regarding your use of the Colloquies application and related services ("Service").

By creating an account or using Colloquies, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Service.

2. Early Access Notice

Colloquies is currently in early access. This means:

  • Features may change, be added, or be removed
  • You may encounter bugs or unexpected behavior
  • We appreciate your patience and feedback as we improve the Service

We will remove this notice once the Service reaches general availability.

3. What Colloquies Is

Colloquies is a private reflection and conversation app designed for small circles of 2–8 people. Each week, your circle receives a meaningful question (a "Colloquy"). You answer, then discuss with your circle in a time-limited "Chapter" that closes at the end of the week. Your circle also has an always-open "Hallway" for casual conversations.

You can share text messages, images, videos, and voice messages in your circles. You can also react to messages with emoji. Each circle is created in one of two privacy modes: Standard (default), where content is stored on our servers and encrypted in transit and at rest; or Private, where content is additionally end-to-end encrypted on your device. Privacy mode is set when a circle is created and applies to all content posted in that circle. See our Privacy Policy for details.

4. Eligibility

You must be at least 16 years old to use Colloquies. By creating an account, you confirm that you are at least 16 years of age.

5. Your Account

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Keeping your password secure

Encryption Keys (Private circles). When you create an account, a unique encryption key pair is generated on your device for use in Private circles. Your private key is stored in your device's secure keychain. An optional cloud backup, wrapped with your password, can help you restore the key on a new device. If you lose access to your device and have no backup, recovered key, or other linked device, you may permanently lose the ability to decrypt Private-circle message history. We cannot recover your private key. Standard circles do not depend on this key: your history syncs from our servers when you sign in on a new device.

Notify us immediately at hello@stojanovventures.com if you suspect unauthorized access to your account.

6. Circles, Admins & Moderation

Circle Admins

When you create a circle, you become its admin. Admins can:

  • Invite and remove members (up to 8 members per circle)
  • Manage circle settings (name, type, categories, depth)
  • Generate invite codes and QR codes
  • Delete the circle

Circle Members

Members can post messages, share media, react to messages, and invite others to the circle.

Weekly Chapters

Each week, your circle receives a new conversation prompt based on your circle's categories and depth level. In weekly chapters, you must post your own response before you can see what others have written. This encourages genuine, uninfluenced reflection.

Moderation

We do not proactively monitor or moderate content within circles, regardless of privacy mode. For Private circles, this is structurally guaranteed by end-to-end encryption: we cannot read content even if compelled to. For Standard circles, it is our policy: we do not access circle content as a matter of policy, though we hold the content on our servers and can produce it in response to valid legal requests. In all cases, you are responsible for who you invite to your circles, and circle admins are responsible for managing membership and removing problematic members.

7. Reporting Content

If you encounter harmful content, you can report it through the app. When you submit a report, you select a report type and provide a reason. For all reports, regardless of the circle's privacy mode, the information we receive automatically is:

  • The reporting user's ID
  • The circle and chapter involved
  • The report type and reason you provided

For Private circles, we cannot view the reported message content unless you include it in your report, because the content is end-to-end encrypted. For Standard circles, message content is held on our servers; we do not access it as a matter of policy except as needed to investigate a specific report. We may take action on reported accounts, including suspension or termination, based on the information available and our investigation.

8. Acceptable Use

You agree to use Colloquies for its intended purpose — meaningful reflection and connection with people you know and trust. You agree not to:

  • Share content that is illegal, including content that sexually exploits or harms minors, terrorism content, or content that violates others' rights
  • Harass, threaten, or harm other users
  • Attempt to access other users' accounts, encryption keys, or private data
  • Reverse engineer, decompile, or attempt to extract source code from the app
  • Use the Service for spam, phishing, or unauthorized commercial purposes
  • Circumvent security measures or interfere with the Service's operation
  • Share your account credentials or allow others to use your account
  • Violate any applicable laws or regulations

While we cannot monitor encrypted content, we reserve the right to suspend or terminate accounts based on reports, metadata patterns, or other available information indicating violations.

9. Your Content

Ownership: You retain full ownership of the content you create in Colloquies, including your messages, reflections, images, videos, voice messages, and reactions.

License to Us: By using the Service, you grant us a limited license to store your content on our servers and transmit it to your circle members for the purpose of operating the Service. For Private circles, this content is end-to-end encrypted and we cannot read it. For Standard circles, the content is stored in our database (encrypted in transit and at rest); we do not access it as a matter of policy and do not use it for advertising, recommendations, or AI training.

Content After Account Deletion: Messages you sent remain in the circles you sent them to, distributed across circle members' devices. After your account is deleted, these messages can no longer be attributed to you. For Private circles, we cannot selectively recall encrypted messages from other members' devices (an inherent property of end-to-end encryption). For Standard circles, the same is true of local copies on members' devices; server-side copies are removed when the circle's retention period expires or when other members remove the circle.

Custom Prompts: If you propose a Colloquy prompt for your circle, it remains private to that circle. We do not use, copy, or distribute user-proposed prompts.

Data Retention on Our Servers

Colloquies uses an offline-first architecture. Your device is the primary store of your data. Our servers hold encrypted copies to enable syncing across devices and delivering messages to your circle members.

Free users: Message content and media (encrypted for Private circles, stored as plaintext for Standard circles) are retained on our servers for 90 days after creation. After 90 days, the content is permanently removed from our servers. Message metadata (timestamps, authorship) is retained for sync purposes, but the content itself is deleted. Data already on your device is not affected; your local message history remains intact.

Circle Plus: If any member of a circle holds an active Circle Plus pass for that circle, full content in that circle is retained on our servers for as long as the pass is active (plus a short grace period after it ends). This means new devices can sync the full message history. When the pass ends, the 90-day retention policy applies going forward to new content.

No separate cloud backups: Aside from the standard server-side storage described above, we do not provide a separate backup of your data. Your device's local database is your primary copy. If your device supports automatic backups (e.g., iCloud, Google backups), your local Colloquies data may be included, but this is managed by your device, not by us. If you lose your device without a backup, messages that have rolled off our 90-day server window — which applies to circles without an active Circle Plus pass — may not be recoverable from our servers.

10. AI-Generated Content

Some content in the app, including weekly Colloquy prompts, may be generated or assisted by artificial intelligence. This content is created and curated by us independently of user data. We do not guarantee the accuracy, completeness, or suitability of AI-generated prompts.

11. Purchases & Payments

Colloquies is free to use. Circle Plus is an optional paid feature: a one-time, non-renewing 12-month pass that unlocks premium features for a single circle and all of its members. Purchases are processed through the Apple App Store or Google Play Store via RevenueCat.

  • Pricing is displayed in the app before purchase
  • Circle Plus does not auto-renew — it is a one-time purchase that ends after 12 months. To keep a circle unlocked, you purchase another pass
  • Passes stack: an additional pass extends a circle's remaining time, up to a maximum of five years
  • Refunds are handled by Apple or Google according to their respective policies
  • You can restore previous purchases via the "Restore Purchase" option in the app

12. Right of Withdrawal (EU Consumers)

If you are a consumer in the European Union, you have the right to withdraw from a paid purchase within 14 days without giving any reason.

To exercise your right of withdrawal, you must inform us of your decision by a clear statement (e.g., by email to hello@stojanovventures.com).

Note: Purchases made through the Apple App Store or Google Play Store are subject to the withdrawal and refund policies of Apple or Google respectively. In most cases, you should request a refund directly through the store where you made the purchase.

If you have explicitly consented to the immediate provision of digital content and acknowledged that you thereby waive your right of withdrawal, the right of withdrawal may expire early in accordance with Art. 16(m) of Directive 2011/83/EU.

13. Service Availability

We strive to keep Colloquies available, but the Service is provided "as is" without guarantees of uptime or availability. We are not liable for:

  • Service interruptions, downtime, or outages
  • Loss of Private-circle data resulting from lost encryption keys (which we cannot recover)
  • Bugs, errors, or unexpected behavior
  • Third-party service disruptions (Apple, Google, Supabase, Firebase, etc.)

Colloquies uses an offline-first architecture. Core features continue to work without an internet connection, with data syncing when connectivity is restored.

We may modify, suspend, or discontinue features or the entire Service with 30 days' notice when reasonably possible. In the event of permanent discontinuation, we will provide an opportunity to export your data.

14. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
  • Our total liability for any claims arising from your use of the Service is limited to the amount you paid us in the 12 months preceding the claim, or 100 EUR, whichever is greater
  • We are not liable for the loss of Private-circle data resulting from lost encryption keys, as we have no ability to decrypt or recover this data

These limitations do not apply to liability for gross negligence, intentional misconduct, or personal injury, and do not affect your statutory rights under EU or German consumer protection law.

15. Termination

By You

You can delete your account at any time through the app settings. Upon deletion:

  • Your account data (profile, email, encryption keys) is immediately removed from our servers
  • Your memberships in all circles are removed
  • Messages you previously sent remain in circles (see "Your Content" above)
  • Any Circle Plus passes you purchased stay with the circles they unlocked — a pass belongs to the circle, not to your account

We recommend uninstalling the app after account deletion to remove all local data from your device.

By Us

We may suspend or terminate your account if:

  • You violate these Terms
  • We receive credible reports of harmful behavior
  • We are required to do so by law
  • Your account shows patterns consistent with abuse

We will notify you of termination when possible and provide reasons unless prohibited by law.

16. Privacy

Your privacy is fundamental to Colloquies. Please review our Privacy Policy to understand how we collect, use, and protect your information.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes through the app or via email at least 30 days before they take effect.

Continued use of Colloquies after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you should stop using the Service and delete your account.

18. Governing Law & Disputes

These Terms are governed by the laws of the Federal Republic of Germany, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of Colloquies shall be resolved in the courts of Berlin, Germany. This does not affect your rights as a consumer to bring claims in the courts of your country of residence.

For EU consumers: You may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr. We are not obligated to participate in dispute resolution proceedings before a consumer arbitration board, but may choose to do so on a case-by-case basis.

19. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Stojanov Ventures regarding Colloquies.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
  • No Waiver: Our failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights to a successor entity, provided your rights under these Terms are not diminished.
